Yes, absolutely. There are zero restrictions on foreign individuals or corporate entities owning 100% of shares in a Polish Sp. z o.o. Citizens of EU, EEA, USA, UK, Canada, Australia, India, and all other non-EU countries can incorporate, own, and direct a Polish LLC on identical legal footing to Polish citizens.

No in-person visit is required for company formation. Through the S24 system (using an ePUAP profile or qualified electronic signature) or via a Notarial Power of Attorney (PoA) signed in your home country and apostilled, the entire incorporation process is conducted 100% remotely.

The S24 portal uses a standardized statutory template from the Ministry of Justice—it is fast (often 24 to 72 hours) and economical. The Notarial Deed route allows fully customized Articles of Association, special voting rights, share classes, pre-emption clauses, and non-cash in-kind capital contributions (*aport*).

A PESEL is the Polish national identification number. Polish law requires all Management Board members (*Członkowie Zarządu*) of Polish companies to obtain a PESEL to sign annual financial statements electronically and submit statutory filings to the eKRS court register. We obtain your PESEL remotely on your behalf.

Under Polish Social Insurance Law, sole shareholders of a single-member LLC are categorized as self-employed and must pay monthly ZUS contributions (~2,000+ PLN/month).
